Terms and Conditions

TERMS AND CONDITIONS AGREEMENT BETWEEN PROXTAP AND CUSTOMER

 

1. INTRODUCTION

 

These terms and conditions ("Agreement") govern the use of services provided by Proxtap ("Company") to the customer ("Customer"). By using the services, the Customer agrees to be bound by this Agreement.

 

2. SCOPE OF SERVICES

 

The Company provides graphic design and printing services to the Customer. The Company will work with the Customer to develop a design for printing and will provide a draft for the Customer's review before printing. The Company will manufacture the final product upon receiving approval from the Customer.

 

3. PAYMENT AND REFUNDS

 

The customer agrees to pay for the services provided by the Company according to the agreed-upon price. The Customer will be invoiced upon acceptance of the final product. If the Customer cancels the purchase after the draft is sent out, they are only liable for a refund of the material used.

 

4. USER OBLIGATIONS

 

The Customer agrees to provide accurate information and to maintain the confidentiality of their account information. The Customer also agrees to comply with the terms of use and to cooperate with the Company in the development of the final product.

 

5. INTELLECTUAL PROPERTY

 

The Company retains all intellectual property rights in the final product, including design files, unless otherwise agreed upon in writing. The Customer is granted a license to use the final product for their own personal or business purposes.

 

6. LIABILITY AND INDEMNIFICATION

 

The Company is not liable for any damages that occur during use of the final product. The Company will take care of damages that occur during shipping. Replacement cards can be purchased if damage does occur to the Customer's card, however, it is not included within the initial purchase. The Customer may make changes to the card design up to 3 times a year.

 

7. TURNOVER TIME

 

The final product has a turnover time of 2-3 weeks from the time of order, but this time may change due to product demand. If there is a delay, the Company will notify the Customer and the Customer will be able to ask for full cancellation/refund if the product has not begun to be worked on.

 

8. PRICING

 

The Company may change pricing over time but the Customer will be alerted of any changes in prices. The Company will honor all packages purchased before changes occur, however, this excludes subscription fees if the Company decides to add that.

 

9. TERMINATION

 

Either party may terminate this Agreement by providing written notice to the other party. Upon termination, the obligations of the parties will cease, and the Customer will be invoiced for any services provided up to that point.

 

10. GOVERNING LAW AND JURISDICTION

 

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is located. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in that state.

 

11. AMENDMENTS

 

The Company may update this Agreement from time to time, and the updated Agreement will be effective upon posting on the Company's website. The Company will notify the Customer of any changes to this Agreement.

 

By accepting these terms and conditions, the Customer agrees to be bound by all terms and conditions set forth in this Agreement.
